Terms and Conditions
It is agreed that the buyer will pay all invoices in accordance
with stated terms and interest will be assessed on delinquent
invoices at the rate of 2% per month (24% A.P.R.) together with any
court costs, attorney's fees and costs of collection the seller may
incur in enforcing the terms of this agreement. If legal action
becomes necessary by either seller or buyer, it is also agreed that
this or any contemporaneous or subsequent agreement will be governed
as to validity, interpretation, construction, effect, and in all
other respects by the laws of the state of New York.
Personal Guarantee
Referred to as Customer, I _____________________________
guarantee the payment, when due, of any sums for which said customer
may now be or may hereafter become indebted to Green Meadow Sales
Corp.
This is a general, unlimited, continuing guarantee of payment of
any and all indebtedness now or hereafter due Green Meadow Sales
Corp. I agree that I am primarily liable for said payment.
The buyer further grants to the seller a purchase money security
interest in buyer's equipment, contract rights, inventories,
receivables, and proceeds of sales as collateral to secure the
buyer's performance of obligations. The buyer further authorizes the
seller to file a financing statement without buyer's signature.
I acknowledge that this Guarantee and my obligations as Guarantor
under this Guarantee are and shall at all times continue to be
absolute and unconditional in all respects, and shall at all times
be valid and enforceable irrespective of any other agreements or
circumstances of any nature whatsoever which might otherwise
constitute a defense to this Guarantee and my obligations as
Guarantor under this Guarantee or the obligations of any other
person or party relating to this Guarantee.
This guarantee sets forth the entire understanding of the
parties, and Guarantor absolutely, unconditionally and irrevocably
waives any and all right to assert any defense, setoff, counterclaim
or cross claim of any nature whatsoever with respect to this
Guarantee or the obligations of the Guarantor under this Guarantee
or the obligations of any other person or party relating to this
Guarantee of the obligations brought by the holder hereof to collect
the Debt or any portion thereof, or to enforce the obligations of
the Guarantor under this Guarantee. The Guarantor acknowledges that
no oral or other agreements, understandings, representations or
warranties exist with respect to this Guarantee or with respect to
the obligations of the Guarantor under this Guarantee, except as
specifically set forth in this Guarantee.
Green Meadow Sales Corp. shall have the right to extend the time
of payment, modify terms, and grant indulgences, all without
releasing me from the provisions of this Guarantee.
The Guarantor agrees that whenever an attorney is used to obtain
payment under or otherwise to enforce, declare or adjudicate any
rights or obligations under this Guarantee, said personal Guarantor
shall pay said attorney reasonable attorney fees in the sum of 33%
and agrees to reimburse said attorney out of pocket costs and
expenses.
In witness of the above understanding, I have hereunto set by
